Hong Kong Money Service Operator Licence

An MSO covers only money changing services and/or remittance services carried on as a business in Hong Kong, and the Commissioner of Customs and Excise is responsible for licensing and supervision. Official materials do not specify a uniform fixed minimum capital amount, but applicants must still demonstrate the source of funds, working capital, business viability, customer fund arrangements, fitness and properness, and AML/CFT capability.

Regulatory authority
Commissioner of Customs and Excise (CCE) / Hong Kong Customs and Excise Department; Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615).
Capital / financial resources
No uniform fixed statutory minimum capital amount has been identified in official sources; the business plan must explain the source of funds, forecasts for the next two years, working capital for day-to-day operations and customer fund protection.
Licence Term / Maintenance
A licence is generally valid for 2 years; renewal must be submitted within the window from 90 to 45 days before expiry, and no later than 45 days before the expiry date.
Application Timeline
Customs has not published a general processing-time commitment; completion of documentation, premises inspections, background checks, interviews and competency assessments all affect processing time.

01 / Scope and regulator: currency exchange or remittance is the starting point

“Money service” includes only currency exchange service and/or remittance service carried on as a business in Hong Kong. Remittance covers the statutory types of sending or arranging to send money to a place outside Hong Kong, receiving or arranging to receive money from a place outside Hong Kong, and arranging for money to be received in a place outside Hong Kong.

Packaging a service as a payment platform, collection and payment service, cross-border e-commerce or a technical interface does not automatically determine the outcome. It is necessary to check who actually provides exchange or remittance services to customers, who controls the funds and settlement, where the service is carried on, and whether any statutory exemption applies.

Carrying on money service without a valid MSO licence may constitute an offence; on indictment, the maximum penalty is HK$1,000,000 and imprisonment for two years.

Consequences of operating without a licence: Hong Kong Customs MSO regulatory overview MSO Licensing Guide, May 2026

02 / Exemption boundaries: ancillary activities do not mean general platform exemption

The Government, certain recognised institutions, licensed corporations, authorised insurance-related entities, SVF licensees, and operators or settlement institutions of specified retail payment systems may be exempt from the statutory requirements if they provide money services only in furtherance of their principal business. Exempt persons should not apply for an MSO licence.

Whether an activity is “ancillary” must be assessed in light of the principal entity, its main business and the services actually provided. An ordinary payment aggregator, an entity that is not an SVF licensee, or an independently operated money-changing/remittance business cannot claim an exemption merely by describing the service as “ancillary”.

  • Break down customer contracts, fees, promotion, personnel, fund flows and profit and loss by service, and explain whether the money service is genuinely ancillary.
  • Check other applicable obligations at the same time; an MSO exemption does not automatically remove SVF, AML/CFT, consumer protection or other licensing obligations.
  • After a product or group restructuring, reassess whether the facts underlying the original exemption still apply.

03 / Capital, Source of Funds and Business Plan: No Fixed Amount Does Not Mean No Resources Are Needed

The Cap.615, Customs licensing guidance and 2026 fee schedule reviewed do not specify a fixed statutory minimum registered or paid-up capital applicable to all MSOs. Accordingly, the share capital amount shown on any commercial website should not be presented as a statutory MSO threshold.

However, the business plan must explain the source of capital, business model, and flow of funds; provide the expected profit margin and turnover for each product over the next 2 years, as well as the working capital required for day-to-day operations; explain how customer funds will be protected against loss if an agent or overseas MSO fails to perform; and, if bank accounts are used, disclose the accounts and account holders.

Prepare SeparatelyPurpose
Capital and Operating CashDemonstrate sustainable operations without treating customer funds as the company’s own resources.
Source of Funds and Bank AccountsExplain the lawful source, account ownership, and the flow of funds in and out.
Client Funds and Settlement ArrangementsIdentify agents, overseas partners, funds in transit and non-performance risks.

04 / Shareholders, directors and ultimate owners: trace control chains beyond 25%

For a company application, every director and every ultimate owner must pass the fit and proper person test. Ultimate owners are not limited to nominee shareholders: any natural person who directly or indirectly owns or controls more than 25% of the share capital, profits or voting rights, or ultimately controls management, may be covered; trusts, bearer holdings and multi-tier ownership chains should also be transparently identified through to the ultimate level.

The fit and proper assessment covers relevant convictions involving AML/CFT, terrorism, proceeds of drug trafficking and organised serious crime; corresponding offences overseas; money laundering/terrorist financing and fraud/corruption/dishonesty convictions; circumstances such as continuing non-compliance, bankruptcy, winding-up or receivership; and other matters the Commissioner considers relevant.

  • Use Form 3A (with Appendices I and II) for an individual related person; use Form 3B for a corporate related person.
  • The signatures and proof of identity in Appendix I to Form 3A must be witnessed. Customs may cross-check information with government and law enforcement agencies.
  • Organise the shareholding chart, ultimate control chart, proof of identity, address details, CVs and any regulatory or litigation disclosures into a single controlled file.

05 / CO, MLRO and Competence Assessment: Actual Competence and Availability Required

Applicants must appoint a competent Compliance Officer (CO) and Money Laundering Reporting Officer (MLRO). The CO coordinates the AML/CFT framework and compliance measures; the MLRO is the central contact point for suspicious transaction reports. One person may perform both roles, but the roles, authority and actual workload must withstand scrutiny.

Unless the CO/MLRO is also the sole proprietor, a partner, a director or an ultimate owner, they must be employees of the applicant as defined under the Employment Ordinance; an external “nominee” role alone cannot take their place. At least one sole proprietor, partner or director must also pass the competency assessment arranged by Hong Kong Customs and Excise Department.

Failure to appoint a competent CO or MLRO, or anyone to attend or pass the competency assessment, may be grounds for refusing a new application or renewal.

Sections 4.15 and 5 of the MSO Licensing Guide

06 / Business Premises, LMO and LPS: A Physical Base Is Still Required Even Without a Counter

A specified premises is a place where money changing and/or remittance is actually carried on, where customers are met by appointment advertised on a sign or in an advertisement, or which is regularly controlled by the licensee. An application must be made in advance for any additional specified premises; the premises must not be operated first and approved afterwards. The premises must be accessible to the Hong Kong Customs and Excise Department for the performance of its regulatory functions. Purely residential buildings are unsuitable, and the premises must not be shared with another MSO for conducting money service operations.

Not having a fixed customer-facing business location—for example, providing services at customers’ homes, meeting them at their offices or transacting via mobile devices—does not remove the location obligations. This model must still maintain a local management office (LMO) and a local place for the storage of books and records (LPS) in Hong Kong.

LocationCore Requirements
LMOA Hong Kong entity must be present, with Customs and Excise Department officers able to make in-person visits and telephone contact. The persons present must be the relevant operators, directors, UBOs and/or COs. Residential addresses and addresses of company secretary, accounting or legal service providers are not accepted.
LPSThe location must be a physical premises in Hong Kong, controlled by the licensee, with complete transaction books and records kept and access granted to Customs; residential addresses and external service providers’ addresses are not accepted.
Lease and UseThe lease or landlord’s letter must expressly permit MSO business; for mixed residential and commercial premises, written consent from every occupier for routine inspections is also required.

07 / Information Required: Forms, Premises Evidence, Business Plan and AML/CFT

A new application is based on Form 1, the supplementary information form and relevant attachments; prepare Form 3A or 3B separately for each fit and proper person. The application file must reflect the actual operating model and should not simply copy a generic template.

  • Entity and control: Business registration, company documents, group and shareholding structure, and director and UBO information.
  • Personnel: Identity documents, proof of address and résumé; the CO/MLRO’s identity card, employment contract and proof of address dated within the past 3 months.
  • Premises: A stamped tenancy agreement or proof of ownership, floor plan, 4R photographs of the interior and exterior, the landlord’s consent and, where applicable, the occupier’s consent; prepare separate materials for specified premises, an LMO and an LPS.
  • Business and funds: Business plan, fund flows, proof of ownership of bank accounts, third-party agreements, payment/settlement arrangements and customer fund protection.
  • Controls: AML/CFT policies, sanctions and high-risk customer screening, customer due diligence, ongoing monitoring, record keeping and training arrangements.

Customs may request additional information on a case-by-case basis; if the deficiencies are not remedied within the specified period, the application may be treated as invalid and will not be processed. MSO document checklist and application procedures

08 / Application process: submission, interviews, assessment and premises verification

  1. Define the services and entity Confirm whether the business will provide money changing, remittance or both, and organise information on controllers, directors, the CO/MLRO, premises, the LMO/LPS and fund flows.
  2. Submit complete information Submit the forms, attachments, business plan, AML policies and supporting documents through the MSO system, by post or in person.
  3. Supplementary documents and interview Once the information is complete, Customs will issue notices for an interview, payment and nomination for the competency assessment; the interview will verify originals, payment records and business/AML information.
  4. Competency assessment and checks Nominated persons must attend the assessment on the specified date; Customs may inspect the premises and cross-check background information with other authorities.
  5. Decision and follow-up The fit and proper person test, premises, LMO/LPS, business plan, AML/CFT, CO/MLRO and assessment must all meet the requirements.

If the application is refused, an appeal may be lodged with the Anti-Money Laundering and Counter-Terrorist Financing Review Tribunal within 21 days after the notice is issued. MSO applications, refusals and appeal arrangements

09 / Application Time and Official Fees for May 2026

Customs has not committed to a fixed number of processing days. Processing time is affected by the time needed to provide outstanding information, conduct an on-site inspection of the premises, obtain information about fit and proper persons from other authorities, and complete competence assessments. A commercial webpage’s “several months” should not be presented as a guarantee by Customs.

10 / Validity Period, Renewal Window and Ongoing Maintenance

An MSO licence is generally valid for 2 years, although the Commissioner may grant a shorter term on a case-by-case basis. Renewal application Form 2 must be submitted between 90 and 45 days before expiry, and no later than 45 days before expiry; where a valid application is submitted in time, the licence usually continues in force while a decision is pending, even if it expires in the meantime. A late or invalid application requires a fresh application, and the business must not operate after expiry.

Renewal involves more than submitting one form: Form 2, supplementary information, attachments, fit and proper declarations, a business plan, AML policies, supporting documents and photographs of applicable premises should be resubmitted. Customs will send a reminder and an invitation to a competence assessment 90 days before expiry, but the licensee remains responsible for applying on time.

  • Maintain a competent CO / MLRO, fit-and-proper status, approved premises and applicable LMO / LPS on an ongoing basis.
  • Submit the periodic return within 2 weeks after the end of each half-year, unless the Commissioner specifies otherwise in writing.
  • When operating through a bank account, the account must be held in the name of the licensed company, operator, partner, director or ultimate owner; third-party accounts cannot be used.

Two-year validity, renewal 90–45 days in advance and periodic returns

11 / Share acquisition and changes: approval first, completion afterwards; notification is not approval

Acquiring an MSO-licensed company is a transaction involving the company’s shares or control; it is not a “free transfer” of the licence from the company to the buyer. A proposed director, ultimate owner or partner must use Form 4 and obtain the CCE’s written approval before becoming a relevant person. Form 5 must be used for a proposed additional specific premises for carrying on money service, and business must not be conducted there before approval and its addition to the licence.

When any information previously provided undergoes a general change, the licensee must notify the authorities in writing using Form 6 within one calendar month from the date of the change. This includes changes to the company/business name, address, contact details, operating accounts, LMO, LPS, CO or MLRO, among others. Form 6 is not a substitute for prior approval of a change of control or new premises.

A change to the legal entity or business status—for example, changing from a sole proprietorship to a partnership, or from an unlimited company to a limited company—requires a new application. Changing from money changing to remittance, or vice versa, also requires written submission to the CCE of an updated business plan and AML policy for review.

12 / Risk controls: Avoiding “shelved licences” and misleading historical webpages

Licensees must continuously implement customer due diligence, ongoing customer and transaction monitoring, sanctions screening, enhanced measures for high-risk customers, suspicious transaction handling, record keeping, staff training and independent reviews. An MSO cannot rely solely on intermediaries for ongoing monitoring; responsibility remains with the licensed MSO.

  • Do not “shelve” the business: never having actually provided services, lacking a CO/MLRO, failing to maintain an LPS/LMO or late submission of periodic returns may all trigger the risk of suspension or revocation.
  • Ceasing business: If intending to cease the business as a whole or business at premises specified on a licence, Form 7 should be submitted before the cessation date, and the licence returned within seven days from the date of cessation or expiry for cancellation or amendment.
  • Historical information: Past sale listings, old quotations, old fees, old “quarterly returns” and sellers’ timelines cannot be treated as current subject matter, current rules or commitments on approval.
  • Transaction due diligence: Independently verify the original licence, register, company search, premises, bank, historical returns, disciplinary record, customer funds, contracts and liabilities.
