MONEY LENDER’S LICENCE (MLO)

Hong Kong Money Lender Licence

A money lender’s licence is generally required to carry on a money-lending business in Hong Kong. The definition of a loan may include an advance, payment made on another’s behalf, or forbearance in respect of a debt due. Whether non-bank BNPL is covered should be assessed based on the actual contract, flow of funds, ownership of the debt and credit risk, and not solely on the labels “interest-free”, “instalments” or “BNPL”.

Regulatory authority
The Registrar of Money Lenders (whose functions are performed by the Companies Registry) receives and processes applications; the Commissioner of Police investigates and may object; and the Licensing Court hears the matter and decides whether to grant the licence in accordance with the law.
Capital / financial resources
Current official documents do not set out a single fixed minimum paid-up capital amount applicable to all applicants; applicants must still demonstrate their source of funds, financial position, and working capital commensurate with the business.
Licence Term / Maintenance
A licence is generally valid for 12 months from the date of grant or renewal; an application for renewal may be made within 3 months before expiry.
Application Timeline
The Companies Registry states that new licences are usually granted within 3 to 4 months after submission; police investigations, objections, court scheduling, rectifications, and premises or personnel reviews may affect individual cases. This is not guaranteed.

01 / Who Receives, Who Investigates, Who Decides: Do Not Conflate the Roles of the Three Parties

The application is made to the Registrar of Money Lenders; the Companies Registry currently performs this function and is responsible for processing applications, renewals, endorsements and the register. A copy of the application must also be given to the Commissioner of Police, who may investigate and object. The application is ultimately heard and decided, and the licence granted, by the independent Licensing Court (a magistrate).

Accordingly, saying that the “Companies Registry directly issues licences” is not precise. For an application or acquisition project, the Companies Registry’s document processing, police investigations and any possible objections, court hearings, and licence conditions should be viewed as related but distinct steps.

Authorized institutions are regulated under the Banking Ordinance regime and are not subject to MLO; whether other activities are separately regulated must be assessed on their own facts.

02 / Lending and BNPL boundaries: look at the debt claim, advances and deferred repayment

The definition of “loan” is broad and may include advances, payments made on another’s behalf and the waiver of debts when due. A “money lender” includes a person carrying on the business of lending money, or claiming or advertising that they carry on that business. In principle, anyone carrying on a money-lending business in Hong Kong must be licensed and may operate only at the premises specified in the licence and in accordance with its conditions.

BNPL is not a separate “fourth core licence”. The Government’s 2026 response confirms that, except for banks regulated by the HKMA, a BNPL institution must obtain an MLO if its services involve carrying on a money lending business. A non-bank BNPL provider that does not provide loans to users does not need a government licence solely because it uses the BNPL label.

  • Who pays the merchant first, and who acquires the claim against the consumer?
  • Does the consumer receive credit, deferred payment, or a waiver of amounts due?
  • Who bears the risk of non-repayment, refunds, disputes, interest or default charges?
  • Do the contracts, accounts, marketing, and collection processes describe the same responsible party?

03 / Interest Rates and Consumer Protection: 48% Is the Prohibited Limit; 36% Is Not a Safe Harbour

It is an offence for any person to lend or offer to lend money at an effective interest rate exceeding 48% per annum, and the relevant repayment, interest and security agreements are unenforceable. This rule is not limited to licensed money lenders.

Transactions with an effective interest rate exceeding 36% per annum are presumed to be extortionate transactions; the court may reopen the transaction and make such order as it considers fair. 36% is neither a “safe harbour” nor an authorised marketing threshold; the loan terms, fees, calculation of the actual annual rate, target customers, debt collection and advertising remain subject to scrutiny.

04 / Entity, Capital and Financial Capacity: No Uniform Amount Does Not Mean Nominal Capital Is Sufficient

Company Form 3 requires the registered office address and the address and telephone number of each money-lending place of business; a PO box is not acceptable. The current form also covers registration particulars for companies incorporated outside Hong Kong, so “must be a Hong Kong-incorporated company” should not be stated as a universal prerequisite for all applications. However, the actual Hong Kong business address, permitted use, lease and security arrangements remain subject to review.

Current Companies Registry information does not specify a single fixed minimum paid-up capital amount applicable to all MLO applicants. The Police may require bank statements from the company, directors or shareholders as evidence of financial standing. The business plan must disclose the source of funds, projected profit/turnover for two years, and working capital for day-to-day operations.

  • Explain loan funds, operating cash, provisions, debt collection costs, and technology/personnel costs separately.
  • Explain the source of shareholder/group funds, capital injection arrangements, bank accounts and the boundaries on the use of funds.
  • Avoid simplifying “no uniform statutory amount identified” to mean “no capital required” or “nominal capital is sufficient for approval.”

05 / Fit and proper persons, control chain and actual lending management

In an application by a company, where there is an objection or opposition, the court must be satisfied that the person who controls the company or whose directions its directors are accustomed to follow, its directors, secretary or other officers, and the person responsible for the money-lending business are all fit and proper persons. The review is not limited to the company’s name or a single nominal director.

A fit and proper assessment may cover MLO and licence-condition compliance records, AML/CFT systems, internal controls and audit trails, financial standing, skills and experience, integrity, records of fraud or director disqualification, and overseas regulatory or disciplinary action. A transaction involving a change of controller, director or actual management personnel should not be assumed to take effect immediately and unconditionally.

Practical Focus: Prepare a shareholding/ultimate beneficial ownership chart, a responsibilities schedule for directors and senior officers, a chart of actual lending approval and debt-collection authorities, identity and address documents, CVs, source-of-funds information, compliance records and disclosure statements.

Companies Registry fit and proper person guidance Cap. 163

06 / Address and place of business: a PO box or virtual address alone is not sufficient

The application should specify the registered office and every money-lending business location; a post office box is not acceptable. The licensed premises and its location must be suitable for money-lending business. The Police’s current application guidance requires evidence such as the relevant lease, the landlord’s or sublandlord’s consent, permission for the intended use, land registration and a floor plan showing security facilities.

A change of address or premises is not an ordinary company relocation. To operate at an additional location or move the business to a replacement location, an application must be made to the Companies Registry and the police must be notified. The Licensing Court will ultimately decide whether to endorse the change, based on the suitability of the premises and the fitness and propriety of the person managing the business at that location.

  • Check whether the lease permits the proposed financial/lending activities and whether its term covers the application and operating plan.
  • Set out reception, records, approvals, cash collection, data and security measures in floor plans and process documents, rather than submitting only proof of address.
  • When acquiring an existing company, separately verify whether its original premises remain valid, are transferable and suit the new operating model.

07 / Materials Required for a New Application: Forms, Declarations, SIS and Business Plan

A new company application should include Form 3, Form 5, SIS-1, SIS-1A, proof of directors’ authorisation, and a business plan. The original and one copy should be submitted to the Companies Registry, while a copy of the application and statement should also be submitted to the police. Current forms and versions should be checked through the Companies Registry portal before submission.

08 / Procedure and timeline: statutory waiting stages apply; 3 to 4 months is not a commitment

  1. Preparation and submission Complete the prescribed forms, written statements, SIS, business plan, directors’ authorisations, and supporting information on the premises/personnel, and pay the application fee.
  2. Companies Registry processing and police investigation A copy of the application is sent to the police at the same time; before the police complete their investigation or 60 days after the application, whichever is earlier, the Registry cannot proceed beyond registration.
  3. Objections and hearing This is followed by a 7-day objection notice period, and the Licensing Court hearing must be notified at least 14 clear days in advance.
  4. Decision and conditions The court makes its decision based on fitness and propriety, the premises, the information provided, and other statutory considerations, and may attach conditions to the licence.

The Companies Registry says that new licences are usually granted within 3 to 4 months after submission; this is only the customary processing time, not a statutory time limit or a guarantee for any new application, post-acquisition change, or launch date. Police investigations, objections, court scheduling, document rectification, and reviews of premises/controllers may all extend the timeline.

09 / Fees, the 12-Month Term and Renewal

A licence is generally valid for 12 months from the date of grant or renewal. An application for renewal may be made within 3 months before expiry; while the application is pending, the licence is generally deemed to remain valid unless it is withdrawn, revoked, or suspended. The company uses the current documents, including Form 7, Form 9, SIS-3, and SIS-3A, for renewal.

10 / Conditions effective 1 August 2026: DSR, Referee Information and Advertising

For licences granted or renewed on or after 5 May 2026, 1 new and 2 amended conditions take effect on 1 August 2026; the current complete version contains 16 conditions. They are not optional, soft guidelines, but form the conditions framework for the relevant licences.

  • Condition 16: No unsecured personal loan exceeding the DSR cap may be granted to a low-income person, nor may a loan be granted with a term exceeding the remaining period of a fixed-term employment contract. The DSR cap is 35% for monthly income of HK$6,000 or below, and 40% for monthly income of HK$6,001 to HK$12,000. The DSR should include repayments on all outstanding unsecured personal loans from banks and money lenders, as well as the loan applied for, and records should be retained.
  • Condition 13: Referrer information must not be requested or obtained; any such information already held must not be used, nor may the referrer be contacted.
  • Condition 9: Advertisements must be fair and not misleading, and must prominently display the complaint hotline and prescribed risk warnings.

The Credit Data Smart condition described in the policy document is proposed to take effect on 1 June 2027; it is not a 17th condition that took effect in August 2026. Full licence conditions effective from 1 August 2026

11 / Share acquisitions, change of address and the “licence transfer” misconception

A licence is generally not transferable. Acquiring shares in a licensed company does not directly transfer the MLO to the buyer; the company remains the licensed entity. However, the controllers, directors, beneficial owners, actual management, premises, ongoing fit and proper status and current licence conditions must each be verified before the transaction.

The current official MLO materials do not set out a general company share sale as a mechanical “licence transfer” procedure. If the transaction also changes the controller, directors, management personnel or premises, confirm with the Money Lenders Unit before signing what updated information must be submitted, whether this triggers an objection or fit-and-proper-person review, and when the change takes effect.

Minimum Due Diligence Scope: The original licence and expiry date; renewal status; conditions; premises; rectification orders or investigations; loan and security records; advertising and debt collection records; AML/CFT; Condition 13/15/16 records; debts; tax; litigation; banking; leases; and the actual control chain.

Do not claim that there is a currently deliverable, defect-free, or immediately operable target based on historical sale listings, old prices, old tenancy agreements, bank accounts, seller statements, or estimated commercial timelines.

Chapter 163 licensing and endorsement rules Companies Registry application/renewal guide

12 / Ongoing maintenance, renewal risks and pre-launch checks

After licensing, the licensee should continue to maintain fitness and propriety, suitable premises, AML/CFT, customer due diligence, loan contracts and books, approval and debt-collection controls, complaint handling and advertising reviews, records of licence conditions, and renewal documents. A licensee’s loss of fitness and propriety, unsuitable premises, serious breach of licence conditions, or operation in a manner prejudicial to the public interest may give rise to the risk of revocation or suspension.

  • Renewal: Begin updating information within the 3-month window before expiry; do not treat preparations before expiry as merely a fee-payment exercise.
  • Changes: Changes to registered particulars must be notified to the Registry; a new or replacement money-lending location requires an application for endorsement, together with the police and court procedures.
  • Records: Retain lending decisions, calculations of interest rates and fees, income/DSR assessments, contracts, repayments, debt collection, complaints, AML screening, STR handling, and advertising reviews as evidence available for inspection.
  • BNPL: Reassess whether the activity constitutes money-lending business whenever the product, funding provider, creditor, fees, or credit commitment changes; do not rely on an old product name as a substitute for assessment.
