Hong Kong stored value facility licence

A facility may fall within Hong Kong’s SVF regime where it stores monetary value deposited by users from time to time and, under the issuer’s undertaking, that value is used to pay for goods or services or to pay another person. The assessment should start with the funds, undertakings, redemption, merchant scope and actual operational facts in Hong Kong—not with whether it is called an “e-wallet” or “points”, or whether it uses a physical card.

Regulatory authority
Monetary Authority (MA)/Hong Kong Monetary Authority (HKMA); Payment Systems and Stored Value Facilities Ordinance (Cap. 584).
Capital / financial resources
A non-bank applicant must have paid-up share capital of not less than HK$25,000,000, or other financial resources of an equivalent amount or more; the float must be separately safeguarded.
Licence Term / Maintenance
This is not a periodic licence that must be reapplied for every year. A non-bank licensee must pay the licence fee within 14 days after it takes effect and on or before each subsequent anniversary, and must continue to meet the minimum criteria and licence conditions.
Application Timeline
The HKMA has not published or committed to a uniform approval period. Readiness, completeness of information, the six independent assessments, requests for further information, interviews, and business complexity can all affect the progress of an individual case.

01 / Regulatory Scope: Focus on Stored Value and Payment Commitments, Not Product Names

The key test under Chapter 584 is whether the facility stores monetary value paid by a user from time to time and, under the issuer’s undertaking, can be used to pay for goods or services or to make a payment to another person. Physical cards, mobile wallets, online accounts and other forms of devices or accounts may all be covered.

The issuance or facilitation of the issuance of a multi-purpose SVF is regulated by the Monetary Authority; there is a statutory “deemed licensee” arrangement when an SVF is issued by a licensed bank. The fact that a service is provided online, the servers or group are overseas, there is no physical card, or the front end calls the balance “points” or “vouchers” is not, by itself, enough to exclude the application of the regime.

Facts to Map Out FirstQuestions to Answer
Receipt and Safeguarding of ValueWho collects customer funds, who records balances, and are those balances redeemable?
Payment commitmentWho undertakes to settle with merchants, or permits payments to another person?
Hong Kong contactHow are customers, promotion, top-ups, customer service, Hong Kong dollars, merchants, banks and Hong Kong contact arrangements connected?

02 / Single-Purpose Use and Exemptions: Marketing Labels Cannot Replace Assessment of the Facts

A genuine single-purpose instrument—that is, an arrangement that can be used only to purchase goods or services provided by the issuer itself and involves no promise to pay another person—does not fall within the definition of an SVF. Schedule 8 also provides for boundaries or exemptions for certain rewards or cash rebates, specified digital products and limited-use arrangements.

  • Single-purpose: Check whether the only acceptable payer is the issuer itself and whether there are any third-party payment or transfer commitments.
  • Limited use: Check the applicable merchant/location scope, float size and other statutory conditions; having “few merchants” does not automatically qualify for an exemption.
  • Rewards or digital products: Check the actual rights, cash elements, refunds, transfers and settlement arrangements, not just the name used in the product brochure.

If the boundaries are unclear, check the complete contracts, flow of funds, user interface and operational arrangements before launching the product. Treating an exemption as an automatic conclusion may create risks of unlicensed issuance or operation.

03 / Applicant, Hong Kong address and business boundaries

Only a company may apply for an SVF licence. The application form must state the applicant’s principal place of business in Hong Kong, postal address and email address. The HKMA’s implementation guidance also emphasises that an eligible issuer is a body corporate under Hong Kong law, to enable effective supervision by the regulator.

The existence of a company does not automatically resolve its eligibility to conduct the business. The applicant should be able to explain why its principal business is issuing or facilitating the issuance of SVF, why other activities are necessary, who enters into contracts, who holds customer relationships, and who controls the systems and funds. If new business or a material change is proposed, licence conditions or case-specific arrangements may require prior communication with the HKMA.

  • Map the group structure, shareholding chain, operating entities, technology providers and settlement partners in one responsibility chart.
  • Use consistent descriptions of the issuer and responsible entity in user agreements, merchant agreements, system permissions and the business plan.
  • Do not present a registered address, virtual office or overseas parent company as automatically meeting requirements for actual operations and regulatory responsiveness.

HKMA applicant eligibility and address requirements

04 / Shareholders, directors, chief executives and key personnel

The chief executive, directors, controllers and relevant managers must all meet the fit and proper requirements and have knowledge and experience commensurate with their responsibilities. The HKMA will assess integrity, professional conduct, competence, experience, judgement, leadership and whether they have sufficient time to perform their duties. Applicants must be able to provide complete and verifiable information.

Personnel / Control RelationshipsCore regulatory arrangements
Chief Executive Officer, DirectorsMA consent must be obtained before taking up the appointment.
ControllerControllers of major shareholders with more than 50% of the voting rights, controllers of minority shareholders with 10% to 50%, and indirect controllers may all be covered.
ManagerNotify the MA within 14 days of an appointment, departure or change to appointment details.
Key Hong Kong-based rolesThe chief executive officer and alternate chief executive officer are usually resident in Hong Kong; key functions such as finance, risk, compliance, internal audit and technology should in principle be based in Hong Kong.

AML/CFT, risk, and internal audit cannot be replaced merely by appointing a “nominal compliance officer”. Give those actually carrying out the relevant duties appropriate authority, reporting lines, backup arrangements, and training records.

05 / Capital and other financial resources: not to be confused with float

A non-bank applicant must maintain paid-up share capital of at least HK$25,000,000, or other financial resources of an equivalent or greater amount. Other currencies freely convertible into Hong Kong dollars, or currencies approved by the MA, may be used. The MA may require a higher level after considering the risks, float size, number of accounts and complexity of the business.

This threshold concerns the applicant’s and licensee’s own financial resources, not users’ top-up funds, and customer float cannot be substituted for capital. The project budget should, at a minimum, separately list capital and other financial resources, day-to-day operating cash, float, refund distribution costs and resources required for an orderly exit.

Accurate Wording: A “minimum financial resource requirement” does not mean that injecting HK$25m into the company is enough to secure approval; the HKMA also reviews governance, risk controls, safeguarding of funds, technology and operational capability.

06 / Float, Redemption and User Fund Protection

Float and SVF deposits must at all times be segregated from the licensee’s own funds and other business funds, and adequately safeguarded to support full refunds to users and the costs of making those refunds. After a user requests redemption, the licensee should redeem the full amount as soon as reasonably practicable. Any fees charged should be clearly and prominently disclosed in the user contract.

  • Usual safeguarding route: An effective trust arrangement giving users legal rights and priority claims if the licensee becomes insolvent.
  • Alternative or supplementary measures: Where there are sufficient grounds, an effective bank guarantee and/or insurance may be used; it is not the case that every project must mechanically choose “one of three” options.
  • Accounts and reconciliation: The user ledger should accurately and promptly reflect the total float and deposits; any funding shortfall should be promptly reported to senior management and the HKMA.
  • Investment and currency: Float management is for liquidity purposes. Prior written consent from the HKMA is required to hold low-risk financial assets other than cash or bank deposits.

The float is not a bank deposit protected under the Deposit Protection Scheme Ordinance. HKMA supervisory guidelines HKMA Supervisory Practice Note

07 / Complete application file: 22 items of information in Appendix B and six independent assessments

An SVF application file is not a simple “company documents plus business plan” package. The materials required under Annex B include a complete application form; a report on paid-up share capital certified by an external auditor; shareholding and controller information; management and staff structures; information on the chief executive, alternate chief executive and directors; a policy for appointing managers; AML/CFT policies and risk assessment; float and investment policies; user contracts; operating rules; related-party contracts; a three-year business plan and projections; board resolutions; constitutional documents; historical audit materials; and company registration documents.

An initial application also requires six separate assessments: corporate governance and risk management, float management, AML/CFT systems, technology risk, payment security and business continuity. Assessors should have commensurate qualifications, knowledge and experience, and be independent of the business unit being assessed.

The validity period of an independent assessment report, counted from its signing date, must not exceed 6 months; a newly established company or a complex group without historical information should not assume it is exempt, and should confirm alternative evidence during early discussions.

22 items of information and a six-month validity period: HKMA Annex B and independent assessment requirements

08 / Application Process: From Scope Assessment to Pre-Launch Implementation

  1. Scope and responsibility assessment Map the account opening, top-up, stored value, payment, merchant settlement, refund, customer service and data flows, and determine who makes the stored value and payment commitments.
  2. Early communication The HKMA strongly encourages companies that are ready to discuss their plans before making a formal application; this can help avoid submitting an application prematurely, but it is not pre-approval.
  3. Submission and status Submit using the specified form and Appendix B. If information is insufficient, the application may initially be treated as a draft; it becomes formal only once the information is complete, and further information may still be requested thereafter.
  4. Assessment and regulatory review Complete six independent assessments and be prepared for management interviews and regulatory enquiries.
  5. Before approval / launch Put in place operational controls for float arrangements, ledgers and reconciliation, redemption, AML/CFT, payment security, outsourcing, BCP, complaints and exit arrangements.

If requested supplementary information is not provided by the specified deadline, the application may be suspended; if the suspension lasts six months or longer and the applicant still wishes to proceed, a fresh application is generally required. HKMA application procedure and suspension arrangements

09 / Application timing: no uniform official commitment on processing time

The HKMA’s public materials do not publish or promise a uniform number of months or fixed number of days for approval. The formal processing status, number of rounds of additional information requests, quality of independent assessments, interviews, business complexity and the applicant’s response speed all affect individual cases.

Accordingly, project management may set an internal preparation schedule, but should not present any consultant’s estimate, the “usually several months” statement on an old webpage, or the duration of a similar historical project as an HKMA service commitment or a guarantee of approval. Early communications can help clarify the materials required, but do not alter the MA’s independent review and decision-making authority.

  • Set up the document index as a version-controlled workspace: assign each document an owner, source, signing date, related requirement and status.
  • Allow capacity to respond to requests for further information, interviews and system verification; do not schedule product launch or commercial closing solely by reference to the initial submission date.
  • Allow more time to clarify the facts where complex cross-border structures, outsourcing, currencies or customer fund protection arrangements are involved.

HKMA: No standard approval period or supplementary-information mechanism

10 / Licence fees and lifecycle: the annual fee is not an “annual licence renewal”

A non-bank licensee must pay the fee within 14 days after the licence takes effect, and on or before each anniversary thereafter; the licence fee specified in Schedule 4 is HK$113,020. This is not an “annual licence renewal” involving a fresh application or approval each year, but an annual payment arrangement under a licence that remains in force.

Ongoing validity depends on continuing compliance with the minimum criteria, licence conditions, AML/CFT and HKMA requirements. Annual fees, financial resources, float reconciliation, risk reviews, personnel changes, regulatory filings and significant events should each be included in the compliance calendar.

Do Not Confuse: Paying the annual licence fee cannot remedy ongoing compliance issues such as insufficient capital, a float shortfall, unsuitable personnel or ineffective control systems.

HK$113,020 and 14 days: Licence fee under Schedule 4 to Cap. 584 HKMA licensing information

11 / Share Acquisition, Control and Personnel Changes

An SVF licence attaches to the licensed company. An acquisition buys shares in or control of the company, not a licence that can be independently “transferred”. A person intending to become a controller must follow the controller procedures under sections 8ZZF/8ZZG before completion; regulatory consent or the statutory process should be made a condition precedent to the transaction.

MattersCorrect Approach
Acquiring ControlComplete the controller procedures before closing; this covers majority shareholders, minority shareholders and indirect controllers.
Appoint a Chief Executive or DirectorObtain MA consent before taking up the appointment.
Appointment, departure or changes to managers’ detailsNotify the MA within 14 days of the event.
Material changes to float protection or exit arrangementsCommunicate with the HKMA before implementation in accordance with applicable requirements; specific investment arrangements require prior written consent.

Transaction due diligence should also cover licence conditions, float, user contracts, historical reconciliations, complaints, outsourcing, systems, regulatory correspondence, tax and contingent liabilities. A company registration change does not itself replace the SVF regulatory process.

HKMA guidance on changes to controllers and personnel HKMA ongoing supervision guidelines

12 / Ongoing Maintenance and High-Risk Pitfalls

The HKMA may conduct ongoing supervision through on-site and off-site examinations, independent assessments, reviews of auditor reports and meetings with management. At a minimum, licensees should implement traceable management mechanisms for float protection, risk assessment, AML/CFT, technology and outsourcing, payment security, complaints, incidents, data, BCP and orderly exit.

  • Review frequency: Do not make the blanket claim that all independent assessments are conducted “once a year”. Key operational risk areas should be self-assessed at least annually; the float protection and management system should be independently reviewed or audited at least annually; and BCP should be tested at least annually.
  • Funding risks: Do not use customer float to meet capital needs, operating cash requirements or the funding needs of other group businesses.
  • Product expansion: Do not continue to rely on the previous scope assessment after material changes to the merchant scope, transfers, redemption, funding arrangements or outsourcing.
  • MSO boundary: The statutory MSO exemption may apply only where a currency exchange or remittance service of an SVF licensee is ancillary to its principal business; this does not replace SVF or AML/CFT obligations.
