01 / Before Applying: First Assess the Actual Business
Please specify the locations of customers and merchants, the currency of receipt, the account name on the funds account, how the funds are held, whether balances may be retained, who arranges cross-border payments, and whether instalment credit is offered to consumers. Website promotions, customer contracts, cooperation agreements and system permissions should all describe the same business model.
An arrangement that only provides a technical interface differs from one that issues stored value balances, arranges foreign exchange or remittances, or assumes loan credit risk. Working with a licensed institution does not mean that the partner’s licence automatically covers all of the platform’s activities. Where an exemption applies or the boundaries are unclear, appropriate professional advice should be obtained first.
02 / Entity, Capital and Personnel Requirements
Capital and personnel requirements cannot be carried over from one type of licence to another. SVF applications emphasise capital, protection of float, governance and technology controls; MSO requirements involve fit and proper status, a business plan, business premises and AML/CFT; and a money lender licence involves separate court procedures, lending business and the current licensing conditions. Please refer to the respective guidance for each of the three regimes for detailed requirements.
The identities, backgrounds, sources of funds and roles of shareholders, ultimate beneficial owners, directors and senior management should be clearly explained. Do not appoint nominal personnel solely to submit an application; the responsibilities stated in the documents must match actual day-to-day management.
03 / Client Information Pack: Organised into Six Files
- Entity profile: company registration, business registration, articles of association, group structure, and shareholding and control relationships.
- Personnel profile: proof of identity, residential address, employment history, role descriptions, fit-and-proper and integrity background information.
- Financial profile: capital arrangements, source of funds, financial projections, operating budget, and resources commensurate with the scale of risk.
- Business profile: business plan, customers and market, funds-flow diagrams, fee rules, contracts, and counterparties’ responsibilities.
- Controls profile: AML/CFT, customer due diligence, transaction monitoring, complaints, record retention, outsourcing, technology, and business continuity.
- Premises profile: lease and proof of use, floor plans, management and security arrangements, and relevant evidence required by the competent authority.
This page sets out a framework; it is not a consolidated checklist to replace official forms. The applicable versions, execution, notarisation or authentication, and supplementary documents should be verified for the specific licence and case.
04 / From Initial Screening to Post-Licensing Management
- Initial business and funds-flow screening Confirm the regulated activities, counterparties’ roles, and whether specific legal analysis is required.
- Gap assessment and written scope Review the entity, capital, personnel, address and systems; clarify the division of work among the consultant, lawyers, auditors and technical specialists.
- Preparation of documents and policies Prepare documents based on the actual business, and complete internal consistency and practicability reviews.
- Formal application and enquiries The appropriate applicant entity submits through the competent authority’s channels and follows up on requirements such as additional documents, interviews and on-site inspections.
- Approval conditions and implementation After obtaining a licence, continue to check operating restrictions, independent bank reviews, access to payment channels and subsequent filings.
05 / Application Time and Cost: Don’t Ask for Just One Number
The overall timeline comprises application preparation, completeness of materials, regulatory review, supplementary enquiries and implementation arrangements. A project schedule prepared by an adviser is not a statutory approval commitment; time estimates for one licence cannot be applied to another.
Costs should be itemised separately, including government fees, capital and working capital, consultancy fees, legal and audit costs, premises, technology systems and ongoing compliance budgets. Bank account opening and payment partnerships are decided independently by the relevant institutions and cannot be promised as part of obtaining a licence.
