Core Comparison of SVF, MSO and MLO
The three regimes correspond to different financial activities; they are not three interchangeable “payment aggregator licences”. First confirm the actual flow of funds, stored-value commitments, money-changing and remittance activities, and lending arrangements, then determine whether one or more regimes may apply.
For stored value and issuance commitments, consider SVF first; for currency exchange or cross-border remittances, consider MSO first; for non-bank lending (including BNPL involving credit), consider a money lender licence first. Exemptions must be assessed against the statutory conditions and the circumstances of each case.
| Comparison Criteria | SVF Stored Value Facility | MSO Money Service Operator | MLO Money Lender Licence |
|---|---|---|---|
| Regulatory / Decision-Making Mechanism | The Monetary Authority (HKMA) is responsible for licensing and ongoing supervision. | The Commissioner of Customs and Excise (CCE) is responsible for licensing and supervision. | The Companies Registry processes applications in the performance of the Registrar of Companies’ functions; the Police may object following an investigation; the Licensing Court decides whether to grant a licence. |
| Core Regulated Business | Holding value deposited by users from time to time and paying for goods/services or making payments to another person as promised. | Carrying on in Hong Kong as a business currency exchange and/or remittance. | Carrying on money lending in Hong Kong; loans may include advances, payments made on another’s behalf, and deferred repayment/forbearance. |
| What Cannot Be Ruled Out Based Solely On | No physical card, online-only, called points/wallet, or hosted on overseas servers. | described as a payment platform, collection and payment service, or “ancillary” service. | described as BNPL, interest-free or instalment-based. |
| Entity and Hong Kong Arrangements | Only companies may apply; a principal place of business in Hong Kong must be provided, and key personnel should in principle be based in Hong Kong. | Establish specific premises according to the business model, or maintain an LMO and LPS in Hong Kong under a model without specific premises. | The application must state the registered address and each money-lending location; post office boxes are not acceptable, and the premises must be suitable. |
| Capital / financial resources | Non-bank applicants must have paid-up share capital of at least HK$25m or other financial resources of an equivalent or greater amount; the MA may raise this requirement. | There is no single fixed statutory minimum capital requirement; the source of funds, working capital and feasibility must be explained. | There is no uniform fixed minimum paid-up capital amount; the source of funds, financial position and working capital must be demonstrated. |
| Key Considerations for Client Funds or Assets | Segregate and fully protect float, make it redeemable, and set aside funds for refund processing costs. | The business plan explains fund flows, account ownership, business partners and customer funds protection. | Explain the loan funds, lending and debt collection processes, contracts, books and records, and consumer protection. |
| Shareholders / Ultimate Controllers | Controllers include persons with over 50%, those with 10% to 50%, and persons exercising indirect control; the required process must be followed before acquiring control. | A natural person who holds more than 25% of the shares, profits or voting rights, or ultimately controls management, is a beneficial owner. | A controller and persons who habitually follow the controller’s directions may be included in the fit-and-proper assessment. |
| Directors and Key Personnel | The Chief Executive and directors must obtain MA consent before taking office; changes relating to managers must be notified within 14 days. | Directors and ultimate owners must be fit and proper; a new director must first obtain written approval from the CCE. | Directors, the secretary/senior officers, and those actually responsible for the money lending business may be subject to ongoing scrutiny. |
| Compliance role | Key personnel who actually assume responsibilities for AML/CFT, risk, internal audit and other functions are required. | There must be competent CO and MLRO; except in specified self-appointment circumstances, they must be employees, and at least one relevant person must pass a competence assessment. | Must demonstrate that actual management, AML/CFT, approval and debt collection controls are workable. |
| Key Application Documents | Appendix B: 22 items of information, six independent assessments, float, AML/CFT, contracts and a three-year plan. | Form 1, supplementary information, Forms 3A/3B, business plan, AML policies, premises/LMO/LPS information. | Form 3, Form 5, SIS-1, SIS-1A, proof of authorisation, business plan and police copies. |
| Application Process Features | Initial discussions, draft/formal stages, independent assessment, requests for further information and possible management interviews. | Submission, interview, fee payment, competence assessment, background checks and possible site inspection. | Companies Registry processing, police investigation/possible objection, statutory waiting milestones and a hearing before the licensing court. |
| Published timeline | The HKMA has no uniform approval period or fixed-day commitment. | Customs makes no general commitment on processing times; timing depends on the information provided, inspections, background checks and assessment. | The usual 3 to 4 months is only the Companies Registry’s customary timeframe, not a guarantee. |
| Main Official Fees | The annual licence fee under Schedule 4 for a non-bank licensee is HK$113,020. | May 2026 guide: new application HK$3,810, renewal HK$910, additional place HK$2,440, fit and proper person HK$945 each. | Companies Registry application / renewal: HK$8,800 each; court grant / renewal: HK$1,910 each. |
| Validity period / renewal | The licence is ongoing; paying the annual fee does not mean applying for a new licence each year. | Generally valid for 2 years; renewal must be submitted 90 to 45 days before expiry, and no later than 45 days beforehand. | Generally valid for 12 months; an application for renewal may be made 3 months before expiry. |
| Changes to Control and Address | Controllers must complete the process before completion; directors/CEOs must obtain consent first; managers must notify within 14 days. | Directors, UBOs, partners and new specified premises must be approved in advance; other information is generally notified using Form 6 within one month. | A licence is generally non-transferable; changes in shareholding, personnel and premises must be verified with the relevant authority on a case-by-case basis. |
| Ongoing Maintenance | Reconciliation and safeguarding of float, AML/CFT, technology, outsourcing, BCP, independent review and exit arrangements. | AML/CFT, CO/MLRO, LMO/LPS, account ownership and periodic reporting within 2 weeks after the end of each half-year. | Ongoing review of renewals, conditions, premises, AML/CFT, loan / debt collection / advertising records and fit-and-proper status. |
| Common High-Risk Misconceptions | Commingling HK$25m in capital with customer float, or misdescribing an annual fee as an annual licence renewal. | Describe the absence of a fixed capital amount as meaning no funding is required, or treat Form 6 notification as a free-transfer mechanism. | Treating 36% as a safe harbour, relying on historical sale information as if it described the current target, or claiming that a share acquisition automatically transfers a licence. |
